Notice of the Ordinary and Extraordinary General Shareholders Meeting

The first meeting will be held at the Palacio de Exposiciones y Congresos in Oviedo, at 19:00 on 18th December

During their meeting on 5th November 2019, the Board of Directors of Real Oviedo, S.A.D. agreed to schedule the first Ordinary and Extraordinary Shareholders Meeting for 19:00 on 18th December 2019.  It will be held at the ‘Palacio de Exposiciones y Congresos de Oviedo’, found on Calle Arturo Alvarez Buylla, 5, Oviedo (Asturias).  If necessary, the meeting will continue into the following day, to begin at the same time and location as the first day.  The following agenda will be discussed:

First: Approval, if necessary, of the Annual Accounts for activity undertaken between 1st July 2018 and 30th June 2019.
Second: Proposal for the distribution of profits.
Third: Approval, if necessary, of the budget for income and expenses for the 2019-2020 season.
Fourth: Report on the capital increase campaign agreed on 14th December 2017.
Fifth: Modification of articles 3, 5, 6 and 32 of the Articles of Association.
Sixth: Requests and questions.
Those who own four or more shares have the right to attend, as long as they are recorded in the Club’s Share Register Book five days before the meeting is held.  Shareholders with the right to attendance may be represented at the meeting by another person, shareholder or otherwise, if they have applied for proxy in writing.
Furthermore, shareholders are advised that, in accordance with Article 272.2 of the Law on Corporations, they have at their free and immediate disposal the documents which will be submitted for approval.  These are in addition to the management report and the audit report.  This is all without prejudice to the general rights to information granted in Article 197 of the same legal text, with relation to the issues contained within the order of business.
Shareholders are to be informed that a notary public will be required to be present to record the minutes of the meeting.
